TERMS OF SERVICE

Welcome to Bidsie! These Terms of Service ("Terms") govern your use of the Bidsie mobile application and all related services (collectively, the "Service"). By accessing or using Bidsie, you agree to be bound by these Terms.
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.
IMPORTANT NOTICE
Bidsie is a platform that connects clients with service professionals. We are not a party to the agreements between clients and pros, and we do not employ or control the pros who provide services. All arrangements, payments for services, and disputes between clients and pros are solely between those parties.

1. ACCEPTANCE OF TERMS
By creating an account, accessing, or using Bidsie, you agree to comply with and be legally bound by these Terms, whether or not you become a registered user. If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you and Bidsie. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service after any changes constitutes acceptance of the modified Terms.
2. DESCRIPTION OF SERVICE
Bidsie is a mobile marketplace application that connects clients seeking services with local service professionals ("Pros") for small jobs and tasks. The Service includes:
- For Clients: The ability to post job requests, receive bids from Pros, select a Pro, communicate with Pros, manage job completion, explore local Pros by specialty, and request service packages
- For Pros: The ability to browse available jobs, submit bids, communicate with clients, manage accepted jobs, and create service packages with fixed pricing
- For All Users: Messaging functionality, rating and review system, profile management, and referral program
Bidsie acts solely as a platform connecting clients and Pros. We are not a party to any agreements between clients and Pros, and we do not provide the actual services posted on the platform.
3. ELIGIBILITY
To use the Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding contract
- Not be prohibited from using the Service under the laws of the United States or any other applicable jurisdiction
- Provide accurate and complete registration information
By using the Service, you represent and warrant that you meet these eligibility requirements.
4. USER ACCOUNTS
4.1 Account Creation
To access certain features of the Service, you must create an account. You may register using:
- Apple account authentication (Sign in with Apple)
- Google account authentication
- Email and password
During registration, you will select whether to start as a Client or a Pro. You may enable dual-role functionality at any time, allowing you to switch between Client and Pro modes using a single account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account in either role.
4.2 Account Security
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Immediately notify us of any unauthorized use of your account
- Be responsible for all activities that occur under your account
4.3 Account Roles
Client Mode: Clients can post jobs, review bids, hire Pros, and communicate with hired Pros.
Pro Mode: Pros can browse jobs, submit bids, and communicate with clients after being hired. Pros may subscribe to Premium plans for additional features.
Dual-Role Accounts: Users may enable both Client and Pro modes on a single account. You can switch between modes at any time through the app settings. Your actions in each mode are tracked separately, but your account credentials and profile remain unified.
5. USER RESPONSIBILITIES
5.1 For Clients
As a Client, you agree to:
- Provide accurate and complete job descriptions
- Respond to bids and questions from Pros in a timely manner
- Only accept bids for jobs you intend to have completed
- Communicate clearly with Pros about job requirements and expectations
- Mark jobs as complete when the work is satisfactorily finished
- Provide honest and fair ratings and reviews
- Pay Pros directly for completed work (Bidsie does not process payments for services)
5.2 For Pros
As a Pro, you agree to:
- Only bid on jobs you are qualified and available to complete
- Provide accurate bid amounts and timelines
- Respond promptly to client questions and communications
- Complete accepted jobs in a professional and timely manner
- Maintain necessary licenses, insurance, and qualifications for services you offer
- Be responsible for your own taxes, insurance, and business obligations
- Honor the bid amount you submitted when accepted by a client
5.3 For All Users
All users agree to:
- Comply with all applicable laws and regulations
- Treat other users with respect and professionalism
- Not engage in fraudulent, abusive, or harassing behavior
- Not misrepresent your identity, qualifications, or intentions
- Not use the Service for any illegal purpose
6. PROHIBITED ACTIVITIES, BLOCKING & REPORTING
You may not:
- Violate any laws, regulations, or third-party rights
- Post false, inaccurate, misleading, defamatory, or libelous content
- Harass, abuse, threaten, or intimidate other users
- Impersonate any person or entity
- Use the Service to solicit business outside of the platform
- Circumvent the platform to avoid fees or obligations
- Use automated systems or software to extract data from the Service ("scraping")
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with or disrupt the Service or servers
- Upload viruses or other malicious code
- Collect or store personal data about other users without their consent
- Use the Service for any commercial purpose not expressly permitted
- Post content that infringes intellectual property rights
- Discriminate against users based on race, religion, gender, disability, or other protected characteristics
Violation of these prohibited activities may result in immediate termination of your account and legal action.
6.1 Blocking Users
You may block other users at any time. When you block a user:
- They will no longer be able to see your profile, jobs, or bids
- You will no longer see their profile, jobs, or bids
- If you have an active hired job together, the job will be cancelled and the other party will be notified that the arrangement has ended (without revealing that a block occurred)
- Neither party will be notified that they have been blocked
You may unblock users at any time through the Blocked Users section in Settings.
6.2 Reporting Users
If you encounter behavior that violates these Terms or makes you feel unsafe, you may report the user. Reports should include:
- The reason for the report (harassment, spam, scam, inappropriate content, etc.)
- Any additional details that help us investigate
We take all reports seriously and will review them promptly. False or malicious reports may result in action against your account. After submitting a report, you will have the option to also block the reported user.
7. SUBSCRIPTION PLANS AND PAYMENTS
7.1 Free and Premium Plans
Bidsie offers subscription plans for Pro users:
Free Plan:
- 10 bids per month (resets on the 1st of each month)
- Access to jobs after a 2-minute early access window for Premium users
Premium Plans (Monthly and Annual):
- Unlimited bids per month
- Immediate access to new jobs (2-minute early access window)
- Priority notifications
- Annual subscribers receive an "Early Supporter" badge
7.2 Subscription Management
All subscriptions are processed through the Apple App Store (iOS) or Google Play Store (Android). Subscription management is handled by RevenueCat. By subscribing, you agree to the applicable app store's terms and RevenueCat's terms.
- Auto-Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
- Cancellation: You may cancel your subscription at any time through your Apple App Store or Google Play Store account settings
- Refunds: Refunds are subject to Apple's or Google's refund policy. Bidsie does not process refunds directly
- Price Changes: We reserve the right to change subscription prices with reasonable notice
7.3 Downgrade Policy
If your Premium subscription expires or is canceled:
- You will automatically be downgraded to the Free plan after a 30-day grace period
- Your bid limit will be reset to 10 bids per month
- You will lose early access to new jobs
- Early Supporter badges (for annual subscribers) will be retained
7.4 No Service Fees
Important: Bidsie does not charge fees or commissions on jobs completed through the platform. Payment for services is arranged directly between clients and Pros. We do not process, hold, or facilitate these payments.
8. JOB POSTINGS AND BIDDING
8.1 Job Postings
Clients may post job requests that include:
- Job title and description
- Location information
- Photos (optional)
- Budget or price expectations
- Quick questions for Pros (optional)
Clients are responsible for providing accurate job information. Jobs are visible to Pros within a certain radius based on location.
8.2 Job Status
Jobs progress through the following statuses:
- Open: Accepting bids
- Reviewing bids: At least one bid received
- Hired: Client has accepted a bid
- Completed: Job finished and marked complete
- Cancelled: Job cancelled by client
8.3 Bidding
Pros may submit bids that include:
- Bid amount
- Estimated timeline
- Answers to quick questions (if applicable)
- Brief message to the client
Pros agree that:
- Bids are binding offers to complete the work at the stated price
- Bids cannot be modified after submission (except through withdrawal and resubmission)
- Free plan users are limited to 10 bids per month
- Bids count when submitted; withdrawn or rejected bids are NOT refunded
8.4 Bid Acceptance
When a client accepts a bid:
- The job status changes to "Hired"
- Messaging between client and Pro is enabled
- Other bids are automatically rejected
- The client and Pro can coordinate to complete the work
8.5 Service Packages
Pros may create Service Packages—fixed-price offerings for common services they provide. Service Packages allow clients to view and request specific services directly from a Pro's profile.
For Pros creating Service Packages:
- You may create packages with a title, description, price, and service category
- Package pricing must be accurate and represent the actual cost of the service described
- You are responsible for honoring the stated price when a client requests your package
- Packages must comply with all content restrictions in these Terms
- You may edit or remove your packages at any time
For Clients requesting Service Packages:
- Requesting a package creates a direct request visible only to that Pro
- The Pro can Accept (job is immediately hired at the package price) or Decline (request is cancelled)
- If accepted, you can message the Pro to coordinate details
- Payment for services is arranged directly between you and the Pro (Bidsie does not process these payments)
8.6 Explore Feature
The Explore feature allows clients to browse local Pros by service category. Pros appearing in Explore results are based on location, service radius, and specialties. Bidsie does not endorse, guarantee, or verify the qualifications of any Pro. Clients are responsible for evaluating Pros based on their profiles, ratings, and reviews.
9. USER CONTENT AND INTELLECTUAL PROPERTY
9.1 Your Content
You retain ownership of all content you submit to the Service, including job postings, bids, messages, photos, profile information, service packages, and ratings/reviews ("User Content").
By submitting User Content, you grant Bidsie a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display your User Content solely for the purpose of operating and improving the Service.
9.2 Content Restrictions
You represent and warrant that your User Content:
- Does not violate any laws or third-party rights
- Does not contain viruses, malware, or harmful code
- Does not infringe intellectual property rights
- Is not false, misleading, or defamatory
- Does not contain private or confidential information without authorization
9.3 Photo Uploads
Users may upload photos for job postings and profile pictures. By uploading photos, you confirm that:
- You own the photos or have permission to use them
- The photos do not violate any person's privacy or publicity rights
- The photos do not contain inappropriate or offensive content
Photos are stored securely and can be deleted through your account settings.
9.4 Bidsie Intellectual Property
The Service, including all content, features, and functionality, is owned by Bidsie and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our express written permission.
10. COMMUNICATIONS BETWEEN USERS
10.1 Messaging
The Service provides in-app messaging between clients and Pros. Messaging is only enabled after a bid has been accepted.
You agree to:
- Use messaging only for legitimate job-related communications
- Not use messaging for spam, harassment, or solicitation
- Not share personal contact information in violation of our policies
- Maintain professional and respectful communication
10.2 Platform Communications
We strongly encourage all communications to occur through the Bidsie platform. Off-platform communications are at your own risk, and we cannot monitor or protect you from disputes arising from such communications.
11. RATINGS AND REVIEWS
11.1 Rating System
After job completion, clients and Pros may rate each other on a 5-star scale and leave written reviews.
Ratings and reviews:
- Must be honest, accurate, and based on your actual experience
- May not contain profanity, threats, or personal attacks
- May not violate any laws or third-party rights
- May be edited by you after submission, but cannot be deleted (Bidsie may remove reviews that violate our policies)
- Are visible to other users on the platform
11.2 Rating Disputes
We do not mediate rating disputes. If you believe a rating violates these Terms, you may report it for review. We reserve the right to remove ratings that violate our policies.
12. REFERRAL PROGRAM
12.1 Referral Codes
Users may generate unique referral codes to invite new users to Bidsie. When a new user applies your referral code:
- The new user must apply the code during registration or shortly after
- Users cannot refer themselves or use multiple accounts to claim rewards
12.2 Referral Rewards ("Golden Envelopes")
You earn a Golden Envelope when your referred user:
- Pro users: Completes their first bid submission
- Client users: Posts their first job
Golden Envelopes are tracked in your account and may be used for future features or rewards.
12.3 Referral Program Rules
- Referral codes are for personal use only and may not be used for commercial promotion without permission
- Fraudulent referrals (fake accounts, self-referrals) will result in reward forfeiture and possible account termination
- We reserve the right to modify or terminate the referral program at any time
13. PRIVACY AND DATA PROTECTION
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.
By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
13.1 Your Data Rights
In accordance with GDPR, CCPA, and other applicable privacy laws, you have the right to:
- Access your data: You can export a complete copy of your personal data directly from the app (Settings → Privacy & Security → Data Export)
- Correct your data: You can update your profile information in the app settings
- Delete your data: You can delete your account directly in the app (Settings → Privacy & Security → Delete Account) or by contacting support
- Data portability: Your exported data is provided in a standard JSON format that can be transferred to other services
14. DISCLAIMERS AND LIMITATIONS OF LIABILITY
14.1 Service "AS IS"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from using the Service will be accurate or reliable
- The quality of services, information, or other material obtained through the Service will meet your expectations
- Any errors in the Service will be corrected
14.2 No Employment Relationship
BIDSIE DOES NOT EMPLOY PROS AND IS NOT RESPONSIBLE FOR THEIR ACTIONS. Pros are independent contractors responsible for their own work, taxes, insurance, and licensing. We do not screen, vet, or supervise Pros beyond basic account verification.
14.3 No Guarantee of Services
Bidsie does not guarantee:
- The quality, safety, or legality of services provided by Pros
- The truth or accuracy of job postings or bids
- That clients will pay Pros or that Pros will complete jobs
- That any particular job will receive bids or be completed
14.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDSIE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use the Service
- Any unauthorized access to or use of your account or data
- Any interruption or cessation of the Service
- Any bugs, viruses, or malicious code transmitted through the Service
- Any errors or omissions in content
- The conduct or content of any third party on the Service
- Any disputes between users
IN NO EVENT SHALL BIDSIE'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO BIDSIE (IF ANY) IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
14.5 User Disputes
You are solely responsible for your interactions with other users. Bidsie reserves the right, but has no obligation, to monitor disputes between users. We are not responsible for resolving disputes or for any damages arising from user interactions.
15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Bidsie and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Any User Content you submit
- Your interactions with other users
- Services you provide or receive through the platform
16. DISPUTE RESOLUTION
16.1 Informal Resolution
If you have a dispute with Bidsie, you agree to first contact us at [email protected] to attempt to resolve the dispute informally.
16.2 Binding Arbitration
If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except as modified by these Terms.
You agree that:
- Arbitration will be conducted in Dallas County, Texas, or remotely via video conference
- The arbitrator's decision will be final and binding
- Each party will bear its own costs and attorney's fees unless the arbitrator decides otherwise
- You waive the right to participate in a class action lawsuit or class-wide arbitration
16.3 Exceptions to Arbitration
Either party may seek injunctive relief in court to prevent infringement of intellectual property rights or misuse of the Service.
17. TERMINATION
17.1 Termination by You
You may terminate your account at any time by going to Settings → Privacy & Security → Delete Account in the app, or by contacting us at [email protected].
17.2 Termination by Us
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Repeated complaints from other users
- Non-payment of subscription fees
- Inactivity for an extended period
17.3 Effect of Termination
Upon termination:
- Your right to use the Service will immediately cease
- We may delete your account and User Content
- You will remain liable for any obligations incurred prior to termination
- Subscriptions will be canceled according to Apple's or Google's policies
18. CHANGES TO TERMS
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms in the app or on our website. We will indicate the date of the latest revision at the top of these Terms.
Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
For material changes, we may provide additional notice such as an in-app notification or email.
19. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.
You agree to submit to the personal jurisdiction of the state and federal courts located in Dallas County, Texas for any actions not subject to arbitration.
20. APPLE AND GOOGLE APP STORE TERMS
The following terms apply when you download or use the Bidsie app from the Apple App Store or Google Play Store:
20.1 Acknowledgment
You acknowledge that these Terms are between you and Bidsie only, not with Apple Inc. ("Apple") or Google LLC ("Google"). Bidsie, not Apple or Google, is solely responsible for the Service and its content.
20.2 Scope of License
The license granted to you for the app is limited to a non-transferable license to use the app on any Apple-branded or Android device that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions or Google Play Terms of Service.
20.3 Maintenance and Support
Bidsie is solely responsible for providing any maintenance and support services for the app. Apple and Google have no obligation whatsoever to furnish any maintenance and support services with respect to the app.
20.4 Warranty
Bidsie is solely responsible for any product warranties, whether express or implied by law. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple or Google, and they may refund the purchase price (if any) for the app. To the maximum extent permitted by applicable law, Apple and Google have no other warranty obligation whatsoever with respect to the app.
20.5 Product Claims
Bidsie, not Apple or Google, is responsible for addressing any claims relating to the app or your possession and/or use of the app, including but not limited to: (i) product liability claims; (ii) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
20.6 Intellectual Property Claims
In the event of any third-party claim that the app or your possession and use of the app infringes that third party's intellectual property rights, Bidsie, not Apple or Google, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
20.7 Third-Party Beneficiary
Apple, Google, and their subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple and Google will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as third-party beneficiaries thereof.
20.8 Legal Compliance
You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

ACKNOWLEDGMENT
BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE SERVICE.
